Ownership of Website; Agreement to Terms of Use

Please read these terms of use before using this website; by using this website, you agree to be bound by the terms of use below.

These Terms and Conditions of Use (the "Terms of Use") apply to the State Bar of Wisconsin websites located at http://www.wisbar.org, marketplace.wisbar.org, and all associated websites linked to www.wisbar.org by State Bar of Wisconsin, its subsidiaries and affiliates (collectively, the “Site”). The Site is the property of the State Bar of Wisconsin ("State Bar of Wisconsin") and its licensors. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

The State Bar of Wisconsin presents the information on this Site as a service to our members and other internet users. While the information on this Site is about legal issues, it is not legal advice. Nothing on this Site is intended to create an attorney-client relationship between you and the State Bar of Wisconsin. If you choose to contact an attorney through the use of this Site, do not include any confidential, secret, or otherwise sensitive information concerning any potential or actual legal matter in the communication.

Content

All text, graphics, images, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of such Content, contained on the Site is owned, controlled or licensed by or to the State Bar of Wisconsin, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.

Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, Website or other medium for publication or distribution or for any commercial enterprise, without State Bar of Wisconsin’s express prior written consent.

You may use information on State Bar of Wisconsin products and services (such as data sheets, knowledge base articles, and similar materials) purposely made available by State Bar of Wisconsin for downloading from the Site, provided that you:

  1. not remove any proprietary notice language in all copies of such documents,
  2. use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media,
  3. make no modifications to any such information, and
  4. not make any additional representations or warranties relating to such documents.

Your Use of the Site

You may not use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the website or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the website. State Bar of Wisconsin reserves the right to bar any such activity.

You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any State Bar of Wisconsin server, or to any of the services offered on or through the Site, by hacking, password "mining", or any other illegitimate means.

You may not probe, scan, or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Site, or any other customer of State Bar of Wisconsin, including any State Bar of Wisconsin account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.

You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or State Bar of Wisconsin’s systems or networks, or any systems or networks connected to the Site or to State Bar of Wisconsin.

You agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.

You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to State Bar of Wisconsin on or through the Site or any service offered on or through the Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

You may not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of State Bar of Wisconsin or others.

Member Account, Password, and Security

You must be 18 years or older to create an account on the State Bar of Wisconsin Site. If you create an account on or become a registered user of the Site, you will receive a password and account designation upon completing the registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to:

  1. provide true, accurate, current and complete information about yourself as prompted by the registration form (your “Registration Data”);
  2. maintain and promptly update the Registration Data to keep it true, accurate, current and complete;
  3. immediately notify the State Bar of Wisconsin of any unauthorized use of your password or account or any other breach of security; and
  4. ensure that you exit or log-out from your account at the end of each session.

The State Bar of Wisconsin has the right to suspend or terminate your account for any reason, including for violations of this or any other agreement with the State Bar of Wisconsin. Any personal identifying information in your Registration Data will be collected, used, and disclosed as provided in our Privacy Policy.

You may not use anyone else’s State Bar of Wisconsin ID, password, or account at any time without the express permission and consent of the holder of that State Bar of Wisconsin ID, password, or account. The State Bar of Wisconsin cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

Privacy

The State Bar of Wisconsin’s Privacy Policy applies to use of this Site, and its terms are made a part of these Terms of Use by this reference. By using the Site, you understand and agree that this Site and all services and information provided on it are provided “As Is” and “As-Available” basis. All information provided on the Site is subject to change without notice. The State Bar of Wisconsin assumes no responsibility for the accuracy, timeliness, deletion, or mis-delivery of any user communication or information. The State Bar of Wisconsin makes no warranties of any kind, either express or implied, including but not limited to warranties of title, non-infringement, or implied warranties of merchantability or fitness for a particular purpose. Moreover, due to the changing nature of the law and our reliance on information provided by outside sources, we make no warranty or guarantee concerning the accuracy or reliability of the content at this Site or at other websites to which we link.

The State Bar of Wisconsin will use reasonable efforts to control the security of the Site, but does not warrant that it will be able to protect any content provided on or through the Site from infringement or piracy. The State Bar of Wisconsin does not warrant that the Site service will be uninterrupted or error free or that any information, software, or other material available on or accessible through the Site is free of viruses, worms, Trojan horses, or other harmful components. You understand and agree that the State Bar of Wisconsin will have no liability for any negligence or lack of due care in failing to protect the security of the Site.

Pricing & Product Information

While State Bar of Wisconsin strives to provide accurate product and pricing information, unintentional pricing or typographical errors may occur. State Bar of Wisconsin reserves the right to correct any errors, inaccuracies, or omissions and to change or update information (including, without limitation, information related to text, pricing, availability and product descriptions) at any time without notice (including after you submitted your order and confirmation was received). In the event that an item is listed at an incorrect price, with incorrect information, or discounted in error, State Bar of Wisconsin shall have the right, in its sole discretion and to the fullest extent permissible by applicable law, to refuse or cancel any purchased orders placed for that item. If your credit card has been charged for any order subsequently cancelled, State Bar of Wisconsin will issue a credit to your credit card as your sole and exclusive remedy if permissible under applicable law. We apologize for any inconvenience this may cause you.

Prices and availability are subject to change without notice. “Sale” prices and percentage savings offered by State Bar of Wisconsin are discounts from State Bar of Wisconsin “Regular” or “Member” prices. The “Regular” or “Member” price of an item is the former or future offered price for the item or a comparable item by State Bar of Wisconsin. Actual sales may not have been made at the “Regular” or “Member” prices, and intermediate markdowns may have been taken. “Member” prices may not have been in effect during the past 90 days or in all trade areas. Merchandise on this Site could be offered at the same or lower “Sale” prices during future promotional events beginning on or after the last day of an advertised promotion. Clearance merchandise are excluded from “Entire Stock” promotions in this Site. In some events, actual savings may exceed the percent savings shown.

You agree that you are responsible for all charges incurred in connection with any purchase on our Site, including, without limitation, all taxes, shipping, handling, and processing charges or other fees.

Limitations on Quantity

State Bar of Wisconsin does not offer additional discounts on large orders of a single item or on large orders of many individual items, unless noted in that item’s description or through a separate purchase agreement. In addition, we reserve the right to limit quantities on orders placed by the same account, on orders placed by the same method of payment, and on orders that use the same billing or shipping address. We will notify you if such limits are applied. State Bar of Wisconsin reserves the right to prohibit purchases of any merchandise to resellers. Resellers are defined as a company or an individual that purchases goods with the intention of selling them rather than using them.

Linking

Periodically, links may be established from this Site to one or other external websites or resources operated by third parties (the “Third-Party Sites”). State Bar of Wisconsin and its affiliates, provide these links for your convenience only. In addition, certain Third Party Sites also may provide links to the Site. At no time shall any such inbound or outbound links be deemed to imply that State Bar of Wisconsin endorses or approves the third-party sites or any content therein. State Bar of Wisconsin does not control and is not responsible or liable for, and does not make any representations or warranties concerning, any third-party sites or any content, advertising, products, or other materials on or available from such third-party sites. Access to any third-party sites is at your own risk and State Bar of Wisconsin will have no liability arising out of or related to such third-party sites to the fullest extent permissible by applicable law.

Without limiting the foregoing, linking to our Site is strictly prohibited absent express written permission from State Bar of Wisconsin. Limitation of Liability

You acknowledge that the State Bar of Wisconsin and its leadership, staff, and members are not liable for any damages or harm arising out of or relating in any way to the Site, including the content or any information received from the Site or any services provided through the Site. Your sole remedy for dissatisfaction with this Site, its content, or any related services is to stop using the Site, the information, or services.

Indemnification

You agree to indemnify and hold harmless the State Bar of Wisconsin, its leadership, staff, and members from any claim or demand by any third party arising out of material you post, transmit or otherwise make available through the Site, and any claim or demand relating to your use of the Site, your connection to the Site, any content or services provided through the Site, OR your violation of these Terms of Use.

Violation of These Terms of Use

State Bar of Wisconsin may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) State Bar of Wisconsin’s rights or property, or the rights or property of visitors to or users of the Site, including State Bar of Wisconsin members and customers. State Bar of Wisconsin reserves the right at all times to disclose any information that State Bar of Wisconsin deems necessary to comply with any applicable law, regulation, legal process, or governmental request. State Bar of Wisconsin also may disclose your information when State Bar of Wisconsin determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

You acknowledge and agree that State Bar of Wisconsin may preserve any transmittal or communication by you with State Bar of Wisconsin through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or State Bar of Wisconsin determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of State Bar of Wisconsin, its employees, users of, or visitors to the Site, and the public.

You agree that State Bar of Wisconsin may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines, which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to State Bar of Wisconsin, for which monetary damages would be inadequate, and you consent to State Bar of Wisconsin obtaining any injunctive or equitable relief that State Bar of Wisconsin deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies State Bar of Wisconsin may have at law or in equity.

You agree that State Bar of Wisconsin may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems.

If State Bar of Wisconsin does take any legal action against you as a result of your violation of these Terms of Use, State Bar of Wisconsin will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to State Bar of Wisconsin. You agree that State Bar of Wisconsin will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.

Governing Law and Jurisdiction

These Terms of Use and the relationship between you and the State Bar of Wisconsin will be governed by the laws of the State of Wisconsin. You hereby consent to the exclusive jurisdiction of the federal and state courts located in the State of Wisconsin for all purposes in connection with any action or proceeding which arises out of or relates to your use of the website, these Terms of Use, or any content, information, or services provided through the website.

Miscellaneous

You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the website, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.

If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect. These Terms of Use constitute the entire agreement between you and State Bar of Wisconsin with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and State Bar of Wisconsin with respect to such use are hereby superseded and cancelled. Other than as provided in a purchase agreement you enter into with State Bar of Wisconsin, State Bar of Wisconsin will not accept any counter-offers to these Terms of Use, and all such offers are hereby categorically rejected. State Bar of Wisconsin’s failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver by State Bar of Wisconsin of any provision or any right it has to enforce these Terms of Use, nor shall any course of conduct between State Bar of Wisconsin and you or any other party be deemed to modify any provision of these Terms of Use. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.

Feedback and Information

Any feedback, comments, reviews, or ratings that you provide at this Site shall be deemed to be non-confidential. State Bar of Wisconsin shall be free to use such information on an unrestricted basis.

Modifications

We may modify these terms of use from time to time. If we make material changes to these terms, we will notify you by posting a revised version of these terms on the Site. Your continued use of the Site after notice of a modification indicates your acceptance of the revised terms.​
